Statement of the Purpose

The job holder is responsible for managing security-related registration processes and reporting activities; and focuses on ensuring compliance, accuracy, and transparency in securities registration and disclosures.

Specific Duties and Responsibilities:

• Proposing and implementing solutions to address legal and practical gaps in securities registration and reporting.

• Ensure that securities being registered meet regulatory standards, disclosure obligations, and relevant legal frameworks

• Review security registration applications for completeness, accuracy, and compliance with regulatory requirements

• Identify and report any potential legal or compliance issues in the registration or disclosure process.

• Maintain well-organized records of security registration applications, approvals, and supporting documentation

• Interact with issuers and market participants to facilitate the security registration process, address inquiries, and provide updates

• Prepare accurate and timely reports on registered securities, disclosures, and other relevant information for regulatory oversight

• Collaborate with internal teams, legal advisors, issuers, and regulatory authorities to facilitate security registration and reporting

• Coordinate communication with external auditors, law firms, and other professional service providers involved in the securities registration process.

• Corporate structuring and reorganizing, and corporate governance 

• Advising investors in legal aspects and shareholders' rights

• Receiving, reviewing, and processing legal and financial documents for regulatory compliance

• Drafting and reviewing complex commercial agreements

• Company due diligence and documentation management

• Performs related works as required 

Qualification Requirements:

• Bachelor’s degree or above in Law or related field from an Accredited or recognized learning institution.

• 6 years of relevant working experience 

Behavioral Competencies/Attributes:

• Knowledge of country company laws and capital market instruments.

• Strong legal analysis and research skills.

• Experience in reviewing legal and financial documents for regulatory compliance.

• Excellent communication and stakeholder management skills.

• Strong analytical and critical thinking capability 

• High level of detail and accuracy in the review of regulatory filings.

• Ability to demonstrate a high level of integrity and confidentiality.

• Ability to organize and manage time to provide timely completion of multiple tasks.

• Proficiency in MS Office and use of communication platforms and tools

• Certifications in corporate finance, capital markets, or related

ECMA, as a regulatory authority, grants licenses to any person to operate as a security exchange, derivative exchange, security depository and clearing company, capital market service provider, over-the-counter trading facility, or any other activity deemed by ECMA as a regulated activity under its jurisdiction. ECMA regulates and oversees trading in primary and secondary markets of securities, the use of electronic trading platforms that deal with securities and gives recognition and oversees the activities of self-regulatory organizations.
